All services provided by ADM are deemed to be provided under the following terms and conditions

All services provided by ADM Web Studios are deemed to be provided under the following terms and conditions. These terms and conditions do not affect your statutory rights as a consumer.

It is not necessary for any Client to have signed an acceptance of these terms and conditions for them to apply. If a Client accepts a quote and makes the initial payment, then the Client will be deemed to have satisfied themselves as to the terms applying and have accepted these terms and conditions in full.

Please read these terms and conditions carefully. Any purchase or use of our services implies that you have read and accepted our terms and conditions.


Definitions

In these terms “we”, “us”, “our”, “ADM” and “ADM Web Studios” means ADM Web Studios, 3 Wilson Street, Workington, Cumbria, CA14 4AZ.

All references to the client will be referred to as “you”, “your”, “customer” or “client”.


Project Brief/Quote/Proposal

  • During the project briefing, it is the client’s responsibility to provide us with clear guidelines along with the flow or specific details you may require. When such details are not provided, we will proceed with our understanding of your requirements and quote accordingly. At a later stage, if a discrepancy arises, it may lead to additional costs to accommodate the changes. Thus, it is essential that you clarify every aspect of your project and ensure that you have been quoted on the right requirements.
  • Once a proposal has been finalised, any additions, changes or enhancements in the functionality or design of the project will affect the proposal and may incur additional cost and a revised delivery date. All additional work, over and above the quotation is charged separately. Under no circumstances will ADM Web Studios be liable for any delays caused by change in the project brief.
  • All proposals and quotes and any other Client/ADM Web Studios documents are commercially confidential and may not be disclosed to third parties without prior written agreement.
  • Costs for services to be provided by ADM Web Studios are defined in the project quotation that the Client receives via e-mail.
  • Quotations are valid for a period of 30 days.
  • ADM Web Studios reserves the right to alter or decline to provide a quotation after expiry of the 30 days.
  • Any complexity related to specific deliverable, must be advised in advance and included in the proposal for costing purposes. We operate in good faith and rely on our clients to disclose the full picture of their expectations. Any discrepancy arising due to unclear requirements or expectations will not be borne by ADM Web Studios.
  • Client agrees to reimburse ADM Web Studios for any additional expenses necessary for the completion of the work. Examples would be the purchase of special fonts and stock photography which have been specifically requested by the client.
  • ADM Web Studios reserves the right to assign subcontractors to this project to ensure the right fit for the job as well as on-time completion. ADM Web Studios will be responsible for the final results of the project.

Client Review

  • Design is subjective so we offer ‘unlimited design revisions’. This means that we will continue to work with you on your design concept until you are happy with our proposal. Unlimited design revisions end when you accept/approve the design/draft. Design changes beyond this point are subject to additional charges.

Project Completion Date/Time Frame

  • ADM Web Studios will aim to have the project completed by the date or time frame set out in the proposal and will use reasonable endeavours to meet those timescales.
  • The Client must provide the material for inclusion in the project as set out in the proposal (including text content, photographs, FTP access, design feedback etc.) in a timely manner in order to meet the deadline date or time frame outline in the proposal.
  • The client must recognise that at times there may be unforeseen circumstances that will delay the development process, particularly with reference to the integration of third party software. We will try our best to complete the project as agreed in the proposal. As long as it is within a reasonable period, the client agrees not to penalize us for any genuine delay, when every effort to keep the project on the proposed schedule is taken.
  • ADM Web Studios will not be held responsible for delays or omissions caused by a failure of the Client to comply with the website proposal and these Terms & Conditions nor shall have no liability to you nor be deemed to be in breach of these terms and conditions if we are delayed in performing or unable to perform any of our obligations under it due to circumstances beyond our reasonable control.

Client Obligations

  • The Client will not allow, permit or require the design to include, publish, link to or otherwise broadcast or disseminate, whether directly or indirectly, any material that is indecent obscene immoral offensive defamatory or otherwise unlawful in any form whatsoever and should ADM Web Studios consider the Client to be in breach of this condition or any part thereof, we may terminate the Project Agreement without compensation to the Client.
  • The Client must provide the material for inclusion in the project as set out in the proposal (including text content, photographs, FTP access, design feedback etc.) in a timely manner in order to meet the deadline date or time frame outline in the website proposal. To aid this, the Client agrees to delegate a single individual as a primary contact to aid ADM Web Studios with progressing the project in a satisfactory and timely manner.
  • Text content for inclusion in the project must be provided as a Microsoft Word, email (or similar) document with the pages in the supplied document representing the content of the relevant pages on your website or promotional material. These pages should have the same titles as the agreed website/promotional material pages.
  • The Client agrees that if at any time their contact details, including email address, change, it is their responsibility to contact ADM and update their contact details. Failure to do so may mean that renewal invoices for the domain name and hosting services are not received by the Client.

Client Caused Delays

Failure to provide required project content/material

  • On any occasion where progress cannot be made with your project because we have not been given the required content or materials in the agreed time frame, and we are delayed as result, we reserve the right to invoice for the work completed to date or even invoice for the remaining balance if the project is deemed by ADM Web Studios to be as good as complete. Only when the outstanding invoice has been paid and any content required to complete the project has been provided, will the project be completed.
  • In the event that a Client delays the project completion and the project has been open for 90 days or more, then we reserve the right to invoice for the work completed to date or invoice for the remaining balance if the project is deemed by ADM Web Studios to be as good as complete. 90 days is plenty of time to reach all project milestones, plus some extra leeway for the ‘usual’ unexpected things that might come up and cause delays. 90 days is sufficient time for the Client to complete and provide ADM Web Studios with their text copy/materials for inclusion in the project.

Unresponsive Clients / Prolonged Project Inactivity

  • We understand that sometimes life happens and you may need to pause work on your project. That is completely acceptable if we are notified and made aware of your situation in advance. If your project goes more than 30 days without any forward progress or significant activity from your end, and no prior arrangements have been made with us and agreed to, your project will be put on hold. If your project remains inactive for an additional 15 days, then a project restart fee may be required to restart your project. Your project will then be scheduled into our current workflow where space is available.
  • If a client becomes unresponsive or the project has been inactive for 90 days or more, with no significant forward progress made, milestones reached, or prior arrangement/communication in place, your project will be put on hold and all associated files will be archived. The Project Agreement will be terminated, no refunds will be available, and you will forfeit all deliverables associated with the project agreement.
  • If an unresponsive client returns and requests to restart the archived project then the project will be assessed for consideration. As the Project Agreement has been terminated, we are not under any obligantion to continue / complete the project. Once the project has been assessed/discussed with the client and if we are happy to enter into a new Project Agreement with the client, the project will be unarchived and a reactivation fee will be required to restart the project. The project will then be scheduled into our current workflow where space is available. The reactivation fee will depend of the scale of the project, but for small project’s where a deposit had been paid, the reactivation fee will be the outstanding balance of the project, unless otherwise agreed in writing in advance.

Website Design & Development

Development

  • All websites developed by ADM Web Studios are Mobile/Tablet Responsive in design. When a website is responsive, the layout and/or content responds (or, adapts) based on the size of the screen it’s presented on. A responsive website automatically changes to fit the device you’re viewing it on.
  • The Client agrees that a HTML page built from a graphic design may not exactly match the original design because of the difference between the display in design software and the rendering of HTML code by Internet browser software. ADM Web Studios agrees to try and match the design as closely as is possible when building the code.
  • All Content Managed websites are configured to work on ADM Web Studios web servers. Where Client’s wish to use web hosting of their preference other than our web hosting, then the Client must ensure their chosen server has the following recommended requirements (PHP v5.6 or greater, MySQL 5.6 or greater, Apache 2.4 +, The mod_rewrite Apache module,  Microsoft IIS 7). ADM Web Studios can help setup the website on the Client’s chosen server but cannot guarantee compatibility.
  • Any Client wishing to use third party web servers will be responsible for having it configured so that it can be used on the server of their choice. ADM Web Studios accepts no responsibility for the configuration and any costs incurred by the Client.
  • ADM Web Studios may also request that Client change the type of hosting account used if that account is deemed to be unacceptable because of poor service, lack of recommended requirements or in any other way insufficient to support the website.
  • ADM Web Studios can only develop websites to be as secure as reasonably possible at the time of delivery and cannot offer indemnity against future threats or developments.
  • On receipt of final payment, ADM Web Studios will upload and publish the website on the Client’s server and submit the website’s domain names for inclusion in the Search Engines.

Search Engine Submissions

  • ADM Web Studios will submit your website to a number of search engines, including Google, Yahoo! and MSN. However, it can take many weeks for your website to appear in the search results – this is normal. We cannot guarantee top level rankings for your website, although we will use our knowledge and experience in Search Engine Optimisation to gain the best results possible.

Content

  • ADM Web Studios will place the Client’s website on ADM Web Studios web server during development stage of the website design process in order that the Client may view and comment upon the website’s progress. It is the responsibility of the Client to test the functionality, read and check all text copy, as well as approve the design and images used.
  • The Client must provide the material for inclusion in the project as set out in the proposal (including text content, photographs, FTP access, design feedback etc.)
  • Text content for inclusion in the project must be provided as a Microsoft Word, email (or similar) document with the pages in the supplied document representing the content of the relevant pages on your website. These pages should have the same titles as the agreed website pages.
  • ADM Web Studios can provide legal disclaimers and privacy policies; but it is the responsibility of the Client to confirm with their own legal advisers that these meet their individual requirements as ADM Web Studios accepts no responsibility for their accuracy, relevance or currency.

E-commerce

  • There are sometimes laws and taxes which affect Internet e-commerce. ADM Web Studios can offer advice on such matters, but the Client agrees that it is their responsibility to comply with such laws and will hold harmless, protect, and defend ADM Web Studios and its suppliers from any claim, suit, penalty, tax, or tariff arising from the Client’s exercise of Internet e-commerce.
  • ADM Web Studios can offer advice on the suitability of various Merchant Gateways and Online Payment Providers, but the Client agrees that it is their responsibility to investigate the advantages and disadvantages of any merchant provider, and to establish the suitability of the merchant provider for their needs.
  • When a merchant provider is chosen, the Client is responsible for establishing a suitable account and supplying details of this account to ADM Web Studios so that the payment method can be integrated with the website’s e-commerce system.

Website Support & Maintenance

  • ADM Web Studios does not undertake to maintain or update a Client’s website as part of project. However, minor modifications and corrections requested within a two-week period up to an average of one hour per page, including updating links and making minor changes to a sentence or paragraph will be carried out FREE of charge.
  • Ongoing Client support is provided for any help or advice the client may need. FREE continual ongoing telephone and email support is provided after the completion of the website to ensure the continuing success of your website. Please note – if the help is deemed as an update, then this will require an update fee.
  • Clients using a website with an integrated Content Management System (CMS) are be able to update the website themselves, using the provided tutorial documents or training session. ADM Web Studios cannot accept responsibility for any alterations occurring to the website carried out by the client or a third party once the website has been completed and handed over to the client. Such alterations include, but are not limited to additions, modifications or deletions. If a Client needs help with making or fixing alterations to the website, then the scale of the help or work required will deem whether the support if free or charged for.
  • If a Client wishes ADM Web Studios to maintain or update a website as a separate commission, ADM Web Studios will either bill per hour or negotiate with the Client a website maintenance plan appropriate to the amount of work required.
  • No other parties shall have the right to modify the website during the maintenance period. If the Client or a company other than ADM Web Studios updates the website during this period, time to repair the web pages will be charged at our hourly rate, and is not included as part of the maintenance plan.
  • Any revisions, additions or redesigns the Client wishes ADM Web Studios to perform which is not specified in the maintenance plan shall be considered “additional” and will require separate quotations and payment. ADM Web Studios will advise clients on any requested work that falls within these bounds.

Web Browsers

  • ADM Web Studios makes every effort to ensure websites are designed to be viewed by the majority of visitors. ADM Web Studios develops websites to work with the most popular modern browsers (e.g. Firefox, Internet Explorer, Microsoft Edge, Google Chrome, Opera etc.). The Client agrees that ADM Web Studios cannot guarantee correct functionality with all browser software versions across different operating systems.
  • ADM Web Studios cannot accept responsibility for web pages which do not display acceptably in new versions of browsers released after the website have been completed and handed over to the Client. As such, ADM Web Studios reserves the right to quote for any work involved in changing the website design or website code for it to work with updated browser software.
  • Also, ADM Web Studios cannot accept responsibility for web pages which do not display acceptably in outdated web browsers due to these browsers not recognising the web technology advancements used in modern websites. However, to help with this issue, ADM Web Studios will add a plug-in to the website to help move your users and the rest of the web away from their outdated web browsers. If a user is running an outdated browser that is not supported by your website, they will simply receive a pop-up window that prompts them to upgrade their browser.
    • The following message is displayed for your users to see: “You are using an outdated web browser that is not supported by this website. This means that some functionality may not work as intended. This may result in strange behaviours when browsing around. Use or upgrade/install one of the following browsers to take full advantage of this website. – Thank you!”(it will display links to the latest browser versions of Firefox, Google Chrome, Opera, and Internet Explorer & Edge)

Graphic Design for Print

  • Any images supplied electronically will be incorporated into designs, provided that they are of suitable quality. All images need to be supplied as 300dpi (min) resolution images. Images sourced from external image libraries may incur additional licence/royalty charges payable by the Client.
  • Proofs, sketches or any representation, whether partial or total, of the finished article in whatever form may be submitted to the Client for approval.
  • After approval and subsequent completion of the design, the Client shall have no claim against ADM Web Studios for errors in the exemplar as approved by them.
  • Upon Client approval and subsequent completion of the graphic designs for print, ADM Web Studios will supply the Client with all of the necessary artwork to take to a professional printer. ADM Web Studios are also happy to co-ordinate with the Clients chosen printer, if they have any particular requirements for the supplied file. Local Printers can also be recommended if required.

Website Hosting

Summary

  • ADM Web Studios offer web hosting services in co-ordination with third-party providers. Changes to the third-party provider’s rules and policies may ultimately affect the services we provide or the terms and conditions herein.
  • ADM Web Studios ensures best to our ability that our systems and servers are protected from hackers, viruses, intruders and other online and offline problems, however we will not be held liable for any disruption of services if such situation arises.
  • Our Data Centre has security on site 24/7 with offsite backup to deal with any major event. CCTV cameras, motion detection and a key fob access system ensure multiple layers of security and peace of mind.
  • With a traditional dedicated server, if your hardware fails then you get downtime.  Our Cloud Hosting System is not reliant on any single piece of hardware, allowing you to benefit from a massive 99.99% uptime. Whilst ADM Web Studios endeavours to give you the best possible level of service, we cannot guarantee 100% availability of service. ADM Web Studios accepts no responsibility for any losses caused through a loss of service.
  • If you do not use ADM Web Studios hosting services for your website, then the management and hosting of the domain name are your responsibility.
  • The Client agrees that it is their responsibility to ensure that they have a current backup of their services at all times – this can be carried out through the website hosting control panel provide for each client. However, for Client peace of mind, all our web hosting accounts are automatically backup up daily and each backup is retained for 7 days.
  • The Client is solely responsible for the content stored on and served by the hosting service and the activity of any scripts or email services created under the hosting service. The Client must maintain the security of all account passwords and applications or scripts and ensure all scripts under the hosting service are free from malicious content that may harm any part of the Server, other client accounts, or the external systems of visitors viewing the hosted content.
  • In the event of a malware attack, ADM Web Studios reserves the right to suspend a Clients hosting service without giving any prior notice.
  • Client’s must not use the email hosting for inappropriate content and other undesired emails which can result in spamming or infecting the server. Under such circumstances, immediate action will be taken and the required files and data will be deleted without any prior notice.

Content and Use

  • We make no representation and give no warranty as to the accuracy or quality of information received by any person via the Server and we shall have no liability for any loss or damage to any data stored on the Server.
  • You represent, undertake and warrant to us that you will use the website allocated to you only for lawful purposes. In particular, you represent, warrant and undertake to us that:
    • You will not use the Server in any manner which infringes any law or regulation or which infringes the rights of any third party, nor will you authorise or permit any other person to do so.
    • You will not employ programs which consume excessive system resources, including but not limited to processor cycles and memory.
    • You will not send bulk email, whether opt-in or otherwise, from our network.
    • You shall procure that all mail is sent in accordance with applicable legislation (including data protection legislation) and in a secure manner.
    • You are entirely responsible for any civil or criminal liability that is incurred as a result of any use of your web pages. If you post or allow to be posted a defamatory or libellous message, it is you that will be deemed to have published it and you that shall be liable for the consequences of it.
  • ADM Web Studios and it suppliers reserve the right to remove any material which they deem inappropriate from your website and without notice (specifically, but not restricted to, Warez and illegal MP3 content).
  • If you advertise or offer to sell goods or services via your web pages, you undertake to provide goods in conformity with any description and warranties made. You agree to comply with all relevant legislation including Advertising and Broadcast regulations, Consumer Credit Acts and Trades Descriptions Acts. If you are advertising goods in the course of a trade or business this must clearly be so stated.

Investigation Charges

  • Any investigations undertaken by ADM Web Studios at the request of the Client into problems, such as loss of service, where it is subsequently found that ADM Web Studios or our suppliers are not the cause, will be charged for. Where appropriate/possible, an estimate of the total cost will be given before any work is started. We therefore suggest that ADM Web Studios is only contacted after the Client and their IT professional/advisor have established that any problems are not due to you or your systems.

Security

  • Any access to other networks connected to ADM Web Studios or our suppliers must comply with the rules appropriate for those other networks.
  • While ADM Web Studios and our suppliers will use every reasonable endeavour to ensure the integrity and security of the Server, neither we nor our suppliers guarantee that the Server will be free from unauthorised users or hackers and neither we nor our suppliers shall be under any liability for non-receipt or misrouting of email or web traffic, or for any other failure of email or websites. Your data pages may not be secure against hackers and you take that risk. If you find evidence of infiltration, please notify ADM Web Studios and we will take steps both to try and prevent it and to notify the proper authorities.
  • ADM Web Studios and our suppliers shall take reasonable care to avoid introducing computer viruses to your computer systems and shall not be liable to you by reason of any virus unknowingly introduced to your system by it for any loss of profit or any indirect, special or consequential loss, damage, costs, expenses or any claims which arise out of or in connection with such introduction of a computer virus.
  • If your services are targeted by any form of online attack – such as a DDoS or Syn Flood attack – ADM Web Studios will prioritise protection of our network over the running of your services.
  • The Client shall affect and maintain adequate insurance cover in respect of any loss of service, or loss or damage to data stored on the Server.
  • The Client shall keep secure any identification, password and other confidential information relating to your account and shall notify us immediately of any known or suspected unauthorised use of your account or breach of security, including loss, theft or unauthorised disclosure of your password or other security information.

IP Blacklisting

  • If one of our servers IP addresses are blacklisted due to any hosted account sending illegal spam, we do not take responsibility for the loss of emails, business or earnings that are affected by a mail server blacklisting.
  • If a hosted account is found to be causing the blacklisting, the ADM Web Studios reserves the right to suspend the account and deal with the blacklisting of any IP’s.
  • ADM Webs Studios will monitor and correct any issues causing such blacklistings as they are reported to us.

Service Availability

  • ADM Web Studios and our suppliers shall use their reasonable endeavours to make available to you at all times the Server and the Services but neither we or our suppliers shall, in any event, be liable for interruptions of Service or down-time of the Server.
  • ADM Web Studios and our suppliers shall have the right to suspend the Services at any time and for any reason, generally without notice, but if such suspension lasts or is to last for more than 7 days you will be notified of the reason in writing.

Backups and Data Loss

Your use of the Services is at your sole risk. You should not rely on ADM for backup. It is solely your responsibility to maintain backups.

  • We undertake periodic backups of data on our shared hosting servers and email infrastructure to ensure critical files are never lost. For Shared Hosting, our backups are created for accounts that are under 50GB and 250,000 Inodes.
  • Furthermore, ADM does not guarantee this feature to any User, and therefore strongly advise the User to regularly perform a backup of their own data, hosted with us. In the unfortunate event that the User has lost their data hosted with ADM , will use reasonable endeavours to restore the client’s data; however ADM will not be responsible for lost data, time, income or any other resource due to faulty backups or non-existent back-ups or any data loss due to faulty hardware. We highly encourage the User to have their own separate backups if your website or data is critical to your business or livelihood as no backup method is failsafe therefore we make no warranties.
  • ADM is not responsible for files and/or data residing on your account. You agree to take full responsibility for all files and data transferred and to maintain all appropriate backup of files and data stored on ADM ’s servers.
  • Our Shared Hosting Packages also come with daily/weekly automated, Self Service JetBackups. The JetBackup’s self-service functionality allows the User to backup/restore their account within seconds from within cPanel.

Abuse ADM Staff or Support Personnel

At ADM, We take pride in providing excellent service to all of our customers. It is our policy to always treat our customers with the highest level of respect and courtesy. In return, we expect the same respect and courtesy from you. If our staff feels that you are consistently engaging in abusive content toward them, or addressing them in a demeaning or rude manner, your account(s) may be suspended and you may be asked to take your business elsewhere. In the event that we terminate service for abusive conduct, customers will be given five (7) days’ notice. We will issue a refund only for the unused portion of pre-paid service. Abusive conduct includes, but is not limited to, the following behaviours:

  • Repeatedly addressing members of our staff in a demeaning or rude manner.
  • Using profanity in any oral or written communications with our staff, by any medium of communication, including but not limited to e-mail, instant messages, chat, text messaging, fax, postal mail, telephone, voice over Internet Protocol, or in-person communication.
  • Yelling or shouting at our staff.
  • Deliberately using all capital (uppercase) letters in any written communication to our staff; Insulting our staff because of their personal characteristics, or on the basis of their race, ethnicity, national origin, sex, sexual orientation, religion, or housing or economic status; or Deliberately providing false information to our staff for the purpose of harassing them or wasting their time.

Renewals

  • All web hosting accounts are sold on a one year prepay basis. The full payment for a full year’s service is required at the time of placing your order.
  • The renewal date for accounts will be one calendar year from the date of activation or the date of previous renewal.
  • Account renewal reminders will be sent by email in advance of renewal date (30 days, 7 days and the day of renewal).
  • If there is no customer response or payment has not been received, the hosting package will automatically disable 5 days after the renewal due date – a Service Suspension Email will be sent to the account registered email address when this happens.
  • If a hosting account has not been renewed 60 days after the due payment date, the system will automatically terminate the account. A termination will result in the deletion of all web files, databases and emails associated with the account and without any notification to the client. ADM Web Studios will not be responsible for any loss of data, web files, emails, backups or restoration costs.
  • Once a customer account has been terminated for non-payment, you may be charged a reconnection fee of £30.00 to cover the administrative time that it takes to restore accounts from backups. The same restore fees may apply to all customers, if you want us to provide backups once an account is terminated for non-payment. This restore service is subject to backup availability. There will be no re-connection or restore fees to re-enable suspended accounts due to non-payment.
  • If you do not wish to renew the hosting and would like to move your website to a third-party hosting provider, then we will make the website files and associated data available to you free of charge on request and the domain name can be transferred to your registrar account. Should you require us to upload and configure the website and domain name to a third-party server, then this work will be subject to a charge. Note: We cannot guarantee or accept any liability whatsoever for downtime associated with the transfer process, nor can we guarantee that your existing website “as it is” will work flawlessly on another web hosting server. You will need to make sure with your new provider that they will be able to ensure that your website files are compatible with their own specific hosting system.
  • The Client agrees that if at any time their contact details, including email address, change, it is their responsibility to contact ADM and update their contact details. Failure to do so may mean that renewal invoices for the domain name and hosting services are not received by the Client.

Money-back Guarantee

ADM offers a thirty (30) day money- back guarantee for Shared Website Hosting Packages, DigiCert SSL Certificates and CodeGuard Website Backup Services only. If you are not completely satisfied with these web services and you terminate your account within thirty (30) days of signing up for the Services, you will be given a full refund of the amount paid. This money-back guarantee only applies to fees paid for hosting services and does not apply to any fees for any additional products or services.

Cancellations and Refunds

Refund Period

  • Without waiving any of its other rights under these terms and conditions, ADM offers to its Customers a 30-day money-back guarantee on fees for various web hosting services. If for any reason you cancel your account within thirty (30) days starting from the day you receive your welcome email including your account information or the day you place the order with us, whichever comes first. ADM will refund your money with no questions asked; provided, however, that you have never previously obtained a refund under the 30-Day Guarantee. If you have ever previously obtained a refund under the 30-Day Guarantee, your account will be cancelled, but no money will be refunded to you. Violations of this Agreement will waive your rights under the refund policy.If the web service being canceled is within the refund grace period, the full cost will be automatically refunded back to the Customer.
  • The refund grace periods are as follows:
    • Shared Website Hosting Packages – 30 days

  • Where ADM or our suppliers terminate or suspend your service in reliance upon your breach of these terms and conditions, including or you terminate your service, you will not be entitled to any refund of any unused part of your service.

Non-refundable Products and Services.

  • Notwithstanding anything to the contrary contained in these terms and conditions, there are no refunds of any fee (including without limitation, administrative fee and/or tax) on Domain Names, Dedicated servers, or additional products or services that have not been listed in the refund period section above, install fees for custom software, and/or any other products or services provided by ADM.

Customer understands and agrees that ADM does not provide pro-rated or any other kinds of refunds on cancellations. All fees Customer has paid shall be non-refundable, unless stated otherwise under our any 30 day money back guarantee.

Termination/Suspension

  • We monitor our servers very closely to ensure that all users on the server are not affecting the service for other clients. Therefore, you agree that should we determine that your service is affecting the service of others, that we may suspend, migrate, block using a firewall or otherwise stop any part of or the entirety of your account. You further agree that this may be for an indefinite period of time while the issue is investigated and that you will act upon our recommendations. Such usage includes but is not limited to causing high CPU loads, excessive use of Apache or MySQL services, deployment of banned scripts, flooding the mail server with excessive numbers of emails, causing the mail server to be blacklisted, uploading banned or compromised content, and scheduling of tasks during busy periods.
  • ADM Web Studios expressly reserves the right to terminate or suspend your subscription without prior notice should you fail to comply with any clause within these Terms and Conditions or should ADM Web Studios or our suppliers deem such action necessary where legal proceedings are threatened or issued regarding the form or content of your web pages and in such circumstances ADM Web Studios will confirm such termination or suspension by subsequent notice.
  • Where ADM Web Studios or our suppliers terminate or suspend your service in reliance upon your breach of Agreement, or you terminate your service, you will not be entitled to any refund of any unused part of your service.
  • If you are a company and you go into insolvent liquidation or suffer the appointment of an administrator or administrative receiver or enter into a voluntary arrangement with your creditors, we shall be entitled to suspend the Services and/or terminate this Agreement forthwith without notice to you.
  • No refunds will be made for Services suspended and/or terminated.
  • We reserve the right to suspend the Services and/or terminate this Agreement at any time.
  • You may cancel the Services at any time, upon notice and providing that all charges have been paid.
  • On termination of this Agreement or suspension of the Services we shall be entitled to immediately block your website and to remove all data located on the server.
  • ADM Web Studios shall not be liable for any consequential loss whatsoever in relation to termination of your account in any circumstances.

Domain Name Registration

Domain Registrations

  • Charges for domain registrations are non-refundable once a domain name has been registered.

Domain Renewals

  • When you register a domain name, it is registered to you for a certain number of years i.e., until its Registration term expires. If you plan to continue using it beyond its Expiry Date, then you need to renew it.
  • You can manage domain renewals in your Client Area account. Domain renewal notices are provided as a courtesy reminder and we are not responsible for any failure to renew a domain or failure to notify about a domain renewal. No refunds will be given once a domain is renewed.
  • A domain name is registered for a minimum period of 1 year, after which time it will need to be reregistered/repurchased.
  • Domain name prices may change from time to time and the renewal amount will be set as the price of the current domain name price.
  • Domain renewal reminders will be sent by email in advance of renewal date (30 days, 7 days and the day before renewal).
  • Whenever a particular domain name is not Renewed till the Expiry Date, it would slip into the Renewal Grace Period. All such domain names would be put on a temporary suspension or parking page, which would indicate that the domain name has expired. During this period, any website or emails associated with the domain name would stop working.
  • If a domain name is not Renewed within the Renewal Grace Period, it would be queued for deletion at the end of the Renewal Grace Period and subsequently Deleted. Once a domain name is Deleted, it would generally slip into the Redemption Grace Period only under the following circumstances:
    • Domain name was manually Deleted by The Company at the request of the Client.
    • Domain name was automatically Deleted by our System as the domain name had Expired and was not Renewed until the end of its Renewal Grace Period.
  • Redeeming a domain name is costly, time consuming and generally a manual process. The Redemption Grace Period is generally of 30 days after the domain name is Deleted and during this period, only the current Registrar of the domain name can Redeem the domain name. The cost to resort/redeem is domain specific and will be advised to the Client at the time of restore/redemption request. If the domain name is not Redeemed during this period, then it would move to the Pending Delete period for 5 days. In this status, the domain name cannot be Redeemed and after this period, the domain name would be available for fresh Registration.
  • The Client agrees that if at any time their contact details, including email address, change, it is their responsibility to contact ADM and update their contact details. Failure to do so may mean that renewal invoices for the domain name and hosting services are not received by the Client.

Domain Name Disputes

  • You acknowledge that any dispute arising out of the use of any domain name will be resolved by the registration authorities.
  • It is a violation of this Agreement for you to misuse or fraudulently use credit cards, charge cards, electronic funds transfers, electronic checks, or any other payment method. We may report any such misuse or fraudulent use, as determined in our sole discretion, to governmental and law enforcement authorities, credit reporting services, financial institutions and/or credit card companies.

Invoices & Payments of Project

Deposit Payment of Project

  • ADM may require payment in advance, or a deposit of at least 50% of the quote total prior to commencing work on a project, particularly but not limited to the following situations: new clients; clients with a poor payment history; small, short or simple projects. Where a deposit is required, the balance shall be due upon completion of the work, unless otherwise agreed in writing in advance.
  • The project start date will be the date the first payment is received.

Final Payment/Outstanding Balance of Project

  • Where a deposit is required, the remaining balance shall be due upon completion of the work, unless otherwise agreed in advance.
  • Upon receipt of the outstanding balance website files will be uploaded to the live server and required materials/files/documents will be release to the client.
  • On any occasion where progress cannot be made with your project because we have not been given the required content or materials in the agreed time frame, and we are delayed as result, we reserve the right to invoice for the work completed to date or invoice for the remaining balance if the project is deemed by ADM Web Studios to be as good as complete. Only when the outstanding invoice has been paid and any content required to complete the project has been provided, will the project be completed.
  • In the event that a Client delays the project completion and the project has been open for 90 days or more, then we reserve the right to invoice for the work completed to date or invoice for the remaining balance if the project is deemed by ADM Web Studios to be as good as complete. 90 days is plenty of time to reach all project milestones, plus some extra leeway for the ‘usual’ unexpected things that might come up and cause delays. 90 days is sufficient time for the Client to complete and provide ADM Web Studios with their text copy/materials for inclusion in the project.

Interim Payments of Project

  • If the quotation is for a considerably large or lengthy project, then interim payments may be included in the quotation to reflect the time frame and different stages of the project.
  • If this is the case, then the Client must pay the interim payments at agreed stages outlined in the project proposal.

Project Invoices

  • All payments must be in UK Pounds Sterling (GBP).
  • Payment for services is due by cheque, or bank transfer (BACS). Cheques should be made payable to ‘ADM Web Studios’ and sent to 3 Wilson Street, Workington, Cumbria, CA14 4AZ. BACS details will be provided on the invoice.
  • Invoices are sent via email. Invoice due dates will be outlined on the invoice. ADM Web Studios will contact Clients via email and sometimes telephone to remind them of such payments if they are not received when due.
  • If invoices are not settled or clients fail to pay in a reasonable time frame after receiving payment due and overdue reminders or ADM Web Studios has not been contacted with a valid reason regarding the delayed payment, then ADM Web Studios may suspend clients work and web services without notice and without prejudice to any other legal remedy until due payment has been made. Furthermore, any work started but incomplete may be suspended and payment therefore becomes immediately due and payable, notwithstanding anything expressed herein, and any monies in respect of.
  • Following consistent non-payment of an invoice our Solicitors will contact the client in question, with a view to taking the matter further and if need be to seek payment through legal procedures, and if necessary court summons.

Project Design Credit

  • A by-line (“Website Design by”) and a link to ADM Web Studios will appear in small type at the bottom of the Client’s website, establishing design and development credit. The Client agrees to leave the text link and by-line intact and unaltered. If a client requests that the design credit be removed, then a nominal fee of 20% of the total website development will be applied.
  • The Client also agrees that any projects produced for the Client may be presented in the ADM Web Studios portfolio.

Copyrights and Trademarks

  • All material, both text and images, supplied by the client and used in the construction of the client’s project, will remain the client’s property. All such material will be assumed to be the property of the client and free to use without fear of breach of copyright laws. The client shall indemnify ADM Web Studios against all and any claims arising from the use of materials of any sort provided by the client or obtained under the direction of the client from third parties such as graphic designers.
  • The copyright for all material provided by ADM Web Studios, such as HTML code, graphics, photographs and text, will remain the property of ADM Web Studios until such time as payment has been made in full. Rights to work-up files, source files and software are specifically not transferred to the Client and remain the property of ADM Web Studios.
  • Upon final payment of our graphic design services, ADM Web Studios assigns all copyright of the design (excluding layered source files) to the Client.
  • ADM Web Studios and its subcontractors retain the right to display graphics and other web design elements as examples of their work in their respective portfolios and advertising media.

Cancellation & Termination of Project

  • In the event that work is postponed or cancelled at the request of the Client in writing by email or postal letter, work already completed will be billed and deducted from the initial payment. If the work that has been completed is beyond the amount covered in the initial payment, the Client shall be liable to pay for all work completed.
  • If additional payment is due, this shall be payable within thirty (30) days of the Client’s notification to stop work. In the event of cancellation, the Client shall also pay any expenses incurred by ADM Web Studios and ADM Web Studios shall own all rights to the Work.

Confidentiality & Non-Disclosure

  • ADM Web Studios, its employees and subcontractors agree that, except as directed by Client, it will not at any time during or after the term of services, disclose any confidential information to any person whatsoever.

Privacy Policy

  • ADM Web Studios respects your right to privacy and comply with obligations under the Data Protection Acts 1988 and 2002. Please read our Privacy Policy for more details.

Governing Law

  • These conditions and all other express terms of the contract shall be governed and constructed in accordance with the laws of England and you hereby submit to the non-exclusive jurisdiction of the English courts.

Limited Liability

  • The Client hereby agrees to indemnify and hold harmless ADM Web Studios from any claim resulting from Client’s publication of material or use of those materials. Client hereby agrees to indemnify and hold harmless ADM Web Studios in any claim resulting from the submission of illegal materials.
  • If ADM Web Studios shall acquire an Internet Domain Name on behalf of the Client , then in such case Client hereby waives any and all claims which it may have against ADM Web Studios, for any loss, damage, claim or expense arising out of or in relation to the registration of such Domain Name in any on-line or off-line network directories, membership lists or registration lists, or the release of the Domain Name from such directories or lists following the termination of the providing of this service by ADM Web Studios for any reason.
  • Under no circumstances, including negligence, shall ADM Web Studios, its office or anyone else involved in creating, producing or distributing its services, be liable for any direct, indirect, incidental, special or consequential damages that result from the use of or inability to use ADM Web Studios services; or that results from mistakes, omissions, interruptions, deletion or loss of files or data, errors, defects, delays in operation, or of performance, whether or not limited to acts of God, communication failure, theft, destruction or unauthorized access to ADM Web Studios records, programs or services. Client maintains sole responsibility for data backups and restoration. Client hereby acknowledges that this paragraph shall apply to all content on ADM Web Studios services.

Indemnity

  • All ADM Web Studios services may be used for lawful purposes only. You agree to indemnify and hold ADM Web Studios harmless from any claims resulting from your use of our service that damages you or any other party.

General Terms

  • ADM Web Studios reserves the right to revise, alter, modify or amend these terms and conditions, and any of our other policies and agreements at any time and in any manner without prior notification. Notice of any revision, amendment, or modification will be posted in accordance with our Terms and Conditions.
